POSITION SUMMARY:

HU is looking for a corporate attorney with exceptional organizational skills to assist the legal department with a variety of transactional projects within a complex nonprofit setting. The position calls for experience in one or more of the areas of responsibility listed below, but ultimately the attorney must function as an efficient, self-driven, and flexible project manager with an ability to learn quickly and handle a variety of overlapping work-streams.

This is a fixed-term (4-6 mos.) position for an attorney with 1-4 years of transactional experience and an interest in working in the nonprofit sector. The job may be ideally suited for seconded law-firm associates, attorneys looking to enter the nonprofit sector, and mid- or late-career professionals returning to the workforce, among others.

Essential Duties and Responsibilities:

– Manage the legal aspects of a structural reorganization potentially involving multiple transactions, regulatory filings, and corporate actions
– Perform due diligence on a wide variety of contracts, operations, and assets and prepare findings and recommendations
– Review, negotiate, and draft a variety of agreements, notices, and templates
– Effectively communicate with staff to provide collaborative and effective project management across departments
– Correspond with and help effectively manage outside counsel, other third party vendors, grantees, and other important organizational relationships
– Other duties and projects as assigned by the General Counsel

Qualifications:

– J.D. from a top national or regional law school and outstanding academic credentials
– 1-4 years of relevant experience at a major law firm or in-house
– Experience with, and working knowledge of, one or more of the following: corporate transactions (M&A, capital markets, venture financing, etc.); contract review, negotiation, and drafting; contract management; high-profile project management
– Excellent written and verbal communication skills, including the ability to present legal concepts and concerns to non-legal colleagues
– Self-starter with the ability to exercise independent judgment
– Strong interpersonal skills, including a deep commitment to customer service, humility and the ability to learn quickly and work effectively with the General Counsel and clients at all levels of the organization
